1. Agreement to Terms

By accessing or using Lolo ("the Service"), operated by Consort Technologies ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users, whether you access Lolo via web browser (lolo.consort.tech) or as a Progressive Web App (PWA).

2. Eligibility

You must be at least 13 years old to use Lolo. By using the Service, you represent and warrant that:

  • You are at least 13 years of age
  • You have the legal capacity to enter into these Terms
  • You will comply with all applicable laws and regulations
  • All information you provide is accurate and up-to-date

If you are under 18, you must have permission from a parent or legal guardian to use Lolo.

3. Account Registration & Security

3.1 Account Creation

To use Lolo, you must create an account by linking one or more of the following:

  • Social accounts (Google, Twitter/X, Telegram, Farcaster, LinkedIn)
  • World ID (for verified human status via zero-knowledge proof—we do NOT receive or store biometric data such as iris scans)
  • Cryptocurrency wallets (Ethereum, Base, Solana, and other supported chains)

You are responsible for:

  • Maintaining the security of your linked accounts
  • All activity that occurs under your account
  • Keeping your wallet private keys secure (we cannot recover them)

3.2 Account Termination

We may suspend or terminate your account at any time if you:

  • Violate these Terms
  • Engage in fraudulent, abusive, or illegal activity
  • Create fake accounts or manipulate the reputation system
  • Spam, harass, or threaten other users

You may delete your account at any time via Settings → Delete Account.

4. User Content & Conduct

4.1 Your Content

You retain ownership of all content you post on Lolo, including:

  • Profile information (name, photo, bio)
  • Location pings
  • Event posts
  • Reputation vouches
  • Professional claims
  • Direct messages (stored in Supabase, encrypted at rest)

By posting content, you grant us a non-exclusive, worldwide, royalty-free license to:

  • Display your content to other users
  • Store your content on our servers
  • Use aggregated/anonymized data for analytics and service improvement

4.2 Prohibited Content

You may NOT post content that:

  • Is illegal, fraudulent, or violates others' rights
  • Contains hate speech, harassment, or threats
  • Is sexually explicit or promotes violence
  • Infringes copyright, trademark, or intellectual property
  • Contains malware, phishing links, or scams
  • Impersonates another person or entity
  • Spams or manipulates the reputation system (e.g., fake vouches, Sybil attacks)

4.3 Content Moderation

We reserve the right to:

  • Remove content that violates these Terms
  • Suspend users who repeatedly violate these Terms
  • Report illegal activity to law enforcement

5. Location & Privacy

5.1 Location Sharing

When you "ping" your location on Lolo:

  • You choose the granularity (neighborhood, city, state, country)
  • Other users can see your approximate location
  • We do NOT store or share precise GPS coordinates

You can change your location visibility at any time via Settings → Privacy.

5.2 Data Collection

We collect and use your data as described in our Privacy Policy. By using Lolo, you consent to our data practices.

Key points:

  • We use connected wallet addresses to authenticate you, verify token-gated access, and provide optional holdings-based features
  • We never ask for your private keys and do not take custody of your assets
  • Direct messages are encrypted at rest in Supabase
  • You can unlink a wallet or delete your Lolo account through Settings

6. Reputation System

6.1 How Reputation Works

Your Lolo reputation score is calculated from:

  1. Identity & Credentials — World ID, social accounts, professional claims
  2. Digital Presence — X followers, GitHub activity, LinkedIn connections
  3. Physical Presence — Event attendance, ping frequency, reliability
  4. Onchain Activity — Connected-wallet token holdings and activity
  5. Network Strength — Friend count, mutual connections, referral quality
  6. Testimonials — Vouches received, professional claims verified by others

Reputation scores are subjective community assessments and do not constitute professional background checks, identity verification, or legal determinations.

Reputation is non-transferable and cannot be purchased. It is earned through real-world activity and community engagement.

6.2 Reputation Staking & Vouches

When you vouch for another user, you stake a portion of your reputation to verify their claim or character.

  • Positive vouches increase the recipient's reputation
  • Negative vouches (reports) decrease it
  • Your staked reputation is locked until the vouch is resolved
  • False vouches may result in reputation penalties

6.3 Manipulation & Gaming

We prohibit:

  • Creating fake accounts to boost reputation (Sybil attacks)
  • Buying/selling vouches or accounts
  • Coordinated vouch rings (mutual back-scratching)
  • Manipulating token activity to inflate onchain scores

Penalty: Account suspension, reputation reset, or permanent ban.

6.4 No Guarantees

Reputation scores are estimates based on publicly available data. We do not guarantee:

  • Accuracy of scores (data may be outdated or incomplete)
  • Fairness (the algorithm may favor certain user types)
  • Stability (scores may change as the formula evolves)

Reputation is for social signaling only and should NOT be used for:

  • Financial decisions (e.g., lending, investment)
  • Legal determinations (e.g., background checks, credit scoring)
  • Employment screening (unless explicitly permitted by law)

7. Events & Attendance

7.1 Event Creation

Any user can create events on Lolo. By creating an event, you represent that:

  • You have the legal right to host the event (venue permission, etc.)
  • Event details (date, time, location) are accurate
  • You will not use events for illegal or harmful purposes
  • You are solely responsible for event legality, safety, and compliance with all applicable laws

We may require event creators to agree to additional terms before publishing events.

7.2 Event Check-Ins

When you attend a Lolo event and scan the organizer's QR code:

  • Your attendance is recorded in your Lolo account
  • The organizer may use attendance records to manage the event
  • Verified attendance may contribute to your Physical Presence reputation score
  • You do not need to submit a blockchain transaction to check in

7.3 Event Liability

Event organizers are solely responsible for event legality, safety, and compliance with local laws.

We are NOT responsible for:

  • Physical safety at events (venue security, accidents, injuries)
  • Event cancellations or changes
  • Disputes between organizers and attendees
  • Quality, legality, or accuracy of event information

Attend events at your own risk.

8. Blockchain & Cryptocurrency

8.1 Wallet Connection

You may connect cryptocurrency wallets to Lolo to:

  • Sign in and prove control of your wallet
  • Verify eligibility for fungible-token-gated Circles and events
  • Use optional token-holdings and onchain reputation features

Important:

  • We NEVER ask for your wallet private keys
  • We NEVER have custody of your funds
  • We CANNOT reverse blockchain transactions
  • You are responsible for wallet security (phishing, scams, etc.)

8.2 Signatures & Transactions

Connecting a wallet, verifying a token gate, RSVPing, and checking in do not require Lolo to take custody of your assets. We may ask you to sign a message to prove that you control a wallet; signing that message does not transfer funds.

If you choose to make a separate blockchain transaction outside Lolo, you are responsible for its network fees and consequences.

8.3 Blockchain Risks

Blockchain transactions are:

  • Permanent (cannot be undone)
  • Public (visible to anyone with a block explorer)
  • Irreversible (if you send tokens to the wrong address, we cannot recover them)

We are not responsible for:

  • Lost private keys
  • Smart contract bugs or exploits
  • Blockchain network downtime (Ethereum, Base, Solana)
  • Fluctuations in token prices or gas fees

8.4 No Investment Advice

Lolo is NOT a financial advisor. Nothing on the Service constitutes:

  • Investment advice
  • Financial planning
  • Tax guidance
  • Legal counsel

Always do your own research (DYOR) before making financial decisions.

9. Intellectual Property

9.1 Our Rights

Lolo and all related content (logo, design, code, algorithms) are owned by Consort Technologies and protected by:

  • Copyright law
  • Trademark law
  • Trade secret law

You may NOT:

  • Copy, modify, or reverse-engineer the Service
  • Use our logo or branding without permission
  • Scrape data from Lolo for commercial purposes

9.2 Your Rights

You retain ownership of content you post on Lolo. However, by posting:

  • You grant us a license to display and store your content
  • You represent that you own the content or have permission to post it
  • You agree not to post copyrighted material without permission

9.3 DMCA Takedown

If you believe someone has infringed your copyright on Lolo, send a DMCA takedown notice to ibu@consort.tech with:

  • Your contact information
  • Description of the copyrighted work
  • Location of the infringing content (URL or username)
  • Statement of good faith belief that use is unauthorized
  • Statement under penalty of perjury that information is accurate
  • Your physical or electronic signature

10. Third-Party Services

Lolo integrates with third-party services, including:

  • Mapbox (maps)
  • Supabase (database, authentication, messaging)
  • Alchemy / Helius (blockchain data)
  • Vercel (hosting)
  • Social login providers (Google, Twitter/X, Telegram, Farcaster, LinkedIn, World ID)

We are not responsible for:

  • Third-party service outages or errors
  • Third-party privacy practices (see their own privacy policies)
  • Changes to third-party APIs or pricing

11. Disclaimers & Limitations of Liability

11.1 "AS IS" Service

Lolo is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, including:

  • Uptime or availability (we may have downtime for maintenance)
  • Accuracy of reputation scores or location data
  • Security (no system is 100% secure)
  • Compatibility with your device or browser

11.2 Limitation of Liability

To the maximum extent permitted by law, Consort Technologies is NOT liable for:

  • Lost profits, data, or opportunities
  • Indirect, incidental, or consequential damages
  • Damages arising from third-party actions (e.g., hacks, scams, phishing)
  • User disputes or offline events

Maximum liability: If we are found liable, our total liability is limited to $100 USD.

11.3 Indemnification

You agree to indemnify and hold harmless Consort Technologies from any claims, damages, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of others' rights (e.g., copyright infringement, defamation)
  • Your use of the Service (e.g., attending an event, posting content)
  • Your event hosting (if you create events on Lolo)

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

12.2 Arbitration Agreement

Any dispute arising from these Terms or the Service will be resolved through binding arbitration (instead of court), except:

  • Small claims court cases (under $10,000)
  • Intellectual property disputes (e.g., trademark infringement)

Arbitration will be conducted by JAMS (Judicial Arbitration and Mediation Services) under their Streamlined Arbitration Rules.

You waive your right to:

  • A jury trial
  • Class action lawsuits

Opt-out: You may opt out of arbitration by emailing ibu@consort.tech within 30 days of creating your account with subject line "ARBITRATION OPT-OUT".

12.3 Jurisdiction

If arbitration does not apply, you agree to the exclusive jurisdiction of courts in Wilmington, Delaware, USA.

13. Changes to Terms

We may update these Terms from time to time to reflect:

  • New features
  • Legal requirements
  • User feedback

How we notify you:

  • Email to your registered address
  • In-app banner notification
  • "Last Updated" date at the top of this page

Material changes (e.g., new fees, arbitration rules) will require re-acceptance. Continued use of the Service after changes constitutes acceptance.

Effective Date vs. Last Updated: If there is a gap between "Effective Date" and "Last Updated," the Effective Date controls when the new terms take effect.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Consort Technologies.

14.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force.

14.3 Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

14.4 Assignment

You may NOT transfer your rights under these Terms. We may assign these Terms to another entity (e.g., if we are acquired).

14.5 Force Majeure

We are not liable for delays or failures caused by events beyond our control (e.g., natural disasters, wars, pandemics, cyberattacks, blockchain network failures).

16. Acknowledgment

By using Lolo, you acknowledge that you have read, understood, and agree to these Terms of Service and our Privacy Policy.
